1. Agreement to Terms

By accessing or using AgentID ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

AgentID provides identity and access management (IAM) services for AI agents. The Service allows you to register AI agent identities, manage scoped credentials, monitor authentication events, and revoke access. We reserve the right to modify or discontinue any part of the Service at any time.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to store or transmit malicious code, viruses, or harmful data
  • Share your account credentials with others
  • Exceed your plan's usage limits without authorization

6. Credentials and Security

You are responsible for:

  • Safeguarding your API keys and credentials generated through the Service
  • Implementing appropriate security measures for your agents
  • Monitoring your agents' activity through the audit logs
  • Revoking compromised credentials promptly

AgentID encrypts credentials at rest but cannot guarantee absolute security. You acknowledge that credential compromise may occur due to factors outside our control.

7. Fees and Payment

The Service is offered under the following pricing tiers:

  • Hobby: Free (3 agents, 1k auths/month)
  • Startup: $149/month (25 agents, 50k auths/month)
  • Business: $399/month (100 agents, 250k auths/month)
  • Enterprise: Custom pricing

Fees are billed in advance on a monthly or annual basis. Overages are charged at $0.01/auth (Startup) or $0.005/auth (Business). We reserve the right to change pricing with 30 days' notice.

8. Refunds and Cancellations

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by law.

9. Service Level Agreement (SLA)

Business tier and above include an SLA guaranteeing 99.9% uptime. If we fail to meet this commitment, you will receive a service credit equal to 10% of your monthly fee for each hour of downtime beyond the SLA threshold, up to 100% of the monthly fee.

10. Intellectual Property

The Service, including all code, designs, trademarks, and content, is owned by AgentID and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

You retain all rights to your data (agent metadata, credentials, audit logs). We do not claim ownership of your data.

11. Confidentiality

Both parties agree to keep confidential information secret and use it only for purposes of the Service. Confidential information includes credentials, API keys, non-public business information, and technical data.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTIONS, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO AGENTID IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 IF YOU USED THE FREE TIER.

14. Indemnification

You agree to indemnify, defend, and hold harmless AgentID from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your negligence or willful misconduct.

15. Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your account at any time for violation of these Terms or for any other reason, with or without notice. Upon termination, your right to use the Service ceases immediately.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the federal or state courts of Delaware.

17. Changes to Terms

We may update these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
